Terms and Conditions
Effective Date: 1 July 2026. Last Updated: 12 October 2026.
These Terms and Conditions ("Terms") are a binding agreement between you ("you," "your," or "Client") and Panthea ("Panthea," "we," "us," or "our"), a Sri Lanka–based practice offering legal advisory services and information technology ("IT") consultancy services. These Terms apply whenever you access or use panthea.consulting and any related subdomains (the "Site"), and they form part of any engagement for services that Panthea agrees to provide to you.
Please read these Terms carefully. By accessing or using the Site, submitting an enquiry, or engaging Panthea for services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or engage our services.
1. Definitions
In these Terms: "Legal Services" means fractional general counsel, intellectual property, AI and technology law, commercial agreements, and strategic advisory services provided by Panthea. "IT Services" means website, mobile application, custom software, cloud and DevOps, and digital strategy consultancy services provided by Panthea. "Engagement" means a specific instruction to provide Legal Services or IT Services, as confirmed in a signed letter of engagement, retainer agreement, or statement of work. "Deliverables" means any work product — documents, code, designs, or advice — produced by Panthea for a Client under an Engagement.
2. The Nature of Our Services
Panthea operates two distinct but complementary practice areas: a legal advisory practice and an IT consultancy practice. These Terms apply to both, but certain provisions apply only to one or the other, as indicated. Where a conflict arises between the general provisions of these Terms and the specific terms of a signed Engagement, the signed Engagement prevails.
3. Use of This Website
The Site is provided for general information about Panthea and its services. You may browse the Site, submit enquiries through our contact form, and download any resources we make publicly available, provided you do so for lawful purposes only. You must not:
- Use the Site in any way that breaches applicable law or regulation;
- Attempt to gain unauthorised access to the Site, our systems, or any account;
- Introduce viruses, malware, or other harmful material to the Site; or
- Scrape, copy, or republish substantial portions of the Site's content without our written consent.
4. No Attorney-Client Relationship Formed by This Website
Nothing on the Site constitutes legal advice, and no attorney-client (or equivalent professional) relationship is formed by browsing the Site, submitting a contact form, or exchanging general correspondence with Panthea — including by email or WhatsApp — before a formal Engagement has been agreed and confirmed in writing. Content on the Site, including service descriptions, FAQs, guides, and blog posts, is provided for general informational purposes only and should not be relied upon as a substitute for advice tailored to your specific circumstances.
Before providing Legal Services, Panthea will carry out a conflict-of-interest check. We reserve the right to decline any instruction, including where a conflict exists or where we are not satisfied that we can act in your best interests.
5. Engagement of Services
Legal Services and IT Services are each provided only under a specific Engagement. For Legal Services, this will typically take the form of a signed letter of engagement or retainer agreement setting out scope, fees, and billing arrangements. For IT Services, this will typically take the form of a signed statement of work or project agreement setting out scope, deliverables, timeline, and fees. Where these Terms and a signed Engagement address the same subject matter differently, the signed Engagement governs.
6. Fees, Retainers & Payment Terms
Our services are typically billed through flat monthly retainers or fixed project fees, as set out in your Engagement. Invoices are payable within the period stated on the invoice, or within fourteen (14) days of the invoice date if no period is stated. We reserve the right to suspend work on any matter or project where payment is materially overdue, having given reasonable prior notice. Late payments may attract interest at a reasonable commercial rate permitted under Sri Lankan law.
Retainers cover the scope of work agreed in your Engagement. Work requested outside that scope will be quoted separately and billed in addition to the retainer.
7. Intellectual Property Rights
The Site, including its design, text, graphics, logos, and the Panthea name and symbol, is owned by or licensed to Panthea and protected by applicable intellectual property laws. You may not reproduce, modify, or distribute any part of the Site without our prior written consent, other than for personal, non-commercial reference.
8. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other in connection with an Engagement, and to use it only for the purposes of that Engagement. For Legal Services, information you share with us in connection with seeking or receiving advice is additionally protected by legal professional privilege and confidentiality obligations under applicable Sri Lankan law and professional conduct rules, to the extent such privilege applies. This clause survives termination of any Engagement.
9. Client Responsibilities
To enable us to deliver our services effectively, you agree to: provide accurate, complete, and timely information and instructions; respond to reasonable requests for feedback, approvals, or access (including, for IT Services, access to hosting accounts, domain registrars, or third-party platforms where required); and promptly notify us of any change in circumstances relevant to an Engagement. Delays caused by incomplete or late information may affect agreed timelines and are not Panthea's responsibility.
10. Third-Party Services, Tools & Platforms
IT Services may involve the use of third-party platforms, hosting providers, software libraries, APIs, or cloud services selected in consultation with you. Your use of such third-party services is subject to their own terms and privacy policies, and Panthea is not responsible for their availability, performance, security, or changes to their terms. Where Panthea recommends a third-party provider, this does not constitute a guarantee of that provider's service.
11. Data Protection
Our collection and use of personal information through the Site and in the course of providing services is described in our Privacy Policy, which forms part of these Terms. Where an Engagement requires Panthea to process personal data on your behalf as part of delivering IT Services (for example, data held within a system we build or maintain for you), the parties will agree appropriate data processing terms as part of that Engagement.
12. Disclaimers
THE SITE AND ITS GENERAL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, OR ERROR-FREE, OR THAT GENERAL CONTENT ON THE SITE IS COMPLETE, ACCURATE, OR CURRENT. NOTHING IN THIS CLAUSE LIMITS ANY SPECIFIC WARRANTY OR STANDARD OF CARE EXPRESSLY SET OUT IN A SIGNED ENGAGEMENT FOR LEGAL SERVICES OR IT SERVICES, WHICH SHALL GOVERN FOR THAT ENGAGEMENT.
For IT Services, we will use reasonable skill and care consistent with good industry practice, but we do not warrant that software, websites, or systems we build will be entirely free of defects, or that they will be compatible with every future third-party platform, browser, or operating system update.
13. Indemnity
You agree to indemnify and hold Panthea harmless against any claims, losses, or costs arising from your breach of these Terms, your misuse of the Site, or inaccurate or misleading information or instructions provided by you in connection with an Engagement.
14. Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations resulting from circumstances beyond its reasonable control, including natural disasters, government action, power or internet outages, or other events of force majeure, provided the affected party notifies the other promptly and uses reasonable efforts to mitigate the impact.
15. Governing Law & Jurisdiction
These Terms, and any Engagement entered into under them, are governed by the laws of the Democratic Socialist Republic of Sri Lanka. You agree that the courts of Sri Lanka shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms or an Engagement, save where mandatory law provides otherwise.
16. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services or legal requirements. Material changes will be notified by posting an updated version on the Site with a revised "Last Updated" date, or by direct notice where you have an active Engagement with us. Continued use of the Site or our services after changes take effect constitutes acceptance of the updated Terms.
17. Severability & Entire Agreement
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with your Privacy Policy and any signed Engagement, constitute the entire agreement between you and Panthea in relation to their subject matter, superseding any prior agreements or understandings.
